Terms of Service

1. Agreement to Terms

By accessing or using the services of That Call Center Guy ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Provided

That Call Center Guy provides customer experience (CX) consulting, strategic advisory, interim leadership, technology implementation, and outsourcing support services. The specific scope of services will be outlined in individual engagement agreements.

3. Engagement Terms

Retained Advisory

  • Month-to-month service with no long-term contract required
  • Either party may cancel with 30 days written notice
  • Includes specified hours of live consulting plus async support
  • Payment due at the beginning of each month

Project-Based Work

  • Scope, timeline, and deliverables defined in individual statements of work
  • Payment terms specified in project agreement
  • Changes to scope require written approval from both parties

Interim Leadership

  • Engagement length and time commitment defined upfront
  • Monthly retainer based on agreed-upon scope
  • Early termination requires 30 days notice unless otherwise specified

4. Payment Terms

  • All fees are due as specified in the engagement agreement
  • Late payments may incur a 1.5% monthly interest charge
  • Refunds are provided only in cases of service non-delivery or mutual agreement
  • Expenses (travel, software, etc.) will be billed separately if approved in advance

5. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This includes business strategies, customer data, financial information, and any materials marked as confidential.

Confidential information does not include information that is publicly available, independently developed, or disclosed with written permission.

6. Intellectual Property

  • Client IP: All client intellectual property, data, and materials remain the property of the client.
  • Work Product: Deliverables created specifically for the client become the client's property upon full payment.
  • General Methodologies: We retain rights to general methodologies, frameworks, and tools developed independently or prior to the engagement.
  • Templates & Resources: Access to resource libraries and templates does not constitute a transfer of ownership.

7. Limitation of Liability

That Call Center Guy provides strategic consulting and advisory services. We do not guarantee specific business outcomes or results. Our liability is limited to the fees paid for services in the 12 months preceding any claim.

We are not liable for indirect, consequential, or punitive damages arising from our services.

8. Independent Contractor Relationship

That Call Center Guy operates as an independent contractor. Nothing in these terms creates an employment, partnership, or joint venture relationship.

9. Termination

Either party may terminate the engagement according to the terms specified in the individual agreement. Upon termination:

  • Client will pay for all services rendered through the termination date
  • We will deliver all completed work product
  • Both parties will return or destroy confidential information as requested

10. Indemnification

Client agrees to indemnify and hold harmless That Call Center Guy from claims arising from the client's use of deliverables, implementation of recommendations, or misuse of confidential information.

11. Governing Law

These terms are governed by the laws of the State of California, United States. Any disputes will be resolved in Los Angeles County, California.

12. Modification of Terms

We reserve the right to modify these terms at any time. Changes will be effective upon posting to this page with an updated "Last Updated" date. Continued use of services after changes constitutes acceptance of modified terms.

13. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14. Entire Agreement

These Terms of Service, together with any individual engagement agreements, constitute the entire agreement between the parties and supersede all prior agreements or understandings.
